Terms of Service

1. Who this agreement is with
CartOS is operated by BTG Space Exploration and Cattle LLC (“we”, “us”). These terms are a contract between us and the company on whose behalf you create an account (“you”). By creating an account you confirm you are authorized to bind that company. If you don’t agree to these terms, don’t use CartOS.
2. Your account
You are responsible for keeping your credentials secure and for everything done under your account, including by the people and automated agents you invite or authorize. Tell us promptly if you believe an account has been compromised. Accounts are for businesses; you must be at least 18 and able to enter a contract.
3. Acceptable use
You agree not to:
- break the law, or infringe anyone’s rights, using CartOS;
- upload malware, or content you have no right to store or send;
- send unsolicited bulk email through CartOS;
- attempt to breach or probe our security, access another customer’s data, or interfere with the service for anyone else; or
- resell or white-label CartOS without our written agreement.
4. Your content
The records you put into CartOS, your contacts, companies, units, work orders, parts, deals, invoices and files, are yours. We claim no ownership of them. You grant us only the limited permission needed to host, process, back up and display that content in order to provide the service to you. We access it only to operate CartOS, to support you when you ask, or where the law requires. Personal data is handled as set out in the Privacy Policy, which forms part of these terms.
5. Our intellectual property
CartOS itself — the software, design and documentation — remains ours. These terms grant you a non-exclusive, non-transferable right to use CartOS during your subscription, and nothing more. If you send us feedback or suggestions, we may use them without obligation to you.
6. Fees and billing
CartOS is billed per person per month, plus any add-ons your account turns on. Current prices are on the pricing page. Trials are free and require no card.
- Subscriptions renew automatically each period until cancelled, and fees are charged in advance through our payment processor.
- Adding people mid-period changes what you are billed for that period, on a pro-rated basis.
- Fees are exclusive of taxes; you are responsible for any sales, use or VAT-style taxes, other than taxes on our income.
- We will give at least 30 days’ notice by email before a price increase applies to you.
- If a payment fails, we may suspend access after notifying you and allowing a reasonable chance to fix it.
Fees already paid are non-refundable except where these terms or the law say otherwise.
7. Ending the agreement
You can cancel or close your account at any time from Settings. Cancellation takes effect at the end of the period you have paid for, and you keep access until then. Closing schedules deletion for that same date; until that date arrives you can reverse the closure, and once it arrives your account’s data is permanently deleted. Export anything you want to keep before then — CartOS has a one-click export in Settings.
We may suspend or terminate an account that materially breaches these terms, or that puts the service or other customers at risk. Except where an immediate suspension is necessary, we will tell you first and give you a reasonable chance to put it right. If we terminate without cause, we will refund fees covering the unused remainder of your period.
8. Service availability and support
We aim to keep CartOS available and fast, and to give reasonable notice of planned maintenance, but we do not commit to a specific uptime percentage and CartOS is provided without a service level agreement. Support is by email, on business days, on a reasonable-efforts basis.
9. Disclaimer
To the fullest extent permitted by law, CartOS is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that CartOS will be uninterrupted, error-free or that it will meet your requirements. CartOS is not accounting, tax or legal advice — check your own numbers and your own obligations.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised such damages were possible. Our total liability for all claims arising out of or relating to these terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your content or your use of CartOS in breach of these terms, other than claims caused by our own breach or negligence.
12. Changes to these terms
We may update these terms. When a change materially affects your rights, we will email account admins at least 30 days before it takes effect, and continuing to use CartOS after that date is acceptance. If you don’t accept, you may close your account before the change takes effect and we will refund the unused remainder of your period.
13. General
These terms, together with the Privacy Policy, are the entire agreement between us on this subject. If any provision is unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor in connection with a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the State of North Carolina, USA, and the state and federal courts located there have exclusive jurisdiction, without regard to conflict-of-law rules.
